1. Introduction

Welcome to Hillgenius LLC's Congressional Hearing Transcript Service ("Service"). These Terms of Service ("Terms") govern your access to and use of our Service. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

2. Definitions

  • "Hillgenius," "we," "us," and "our" refer to Hillgenius LLC.
  • "You" and "your" refer to the individual or entity accessing or using the Service.
  • "Content" refers to transcripts, data, text, and other materials available through the Service.
  • "User Data" refers to data provided by you when using the Service.

3. Account Registration

3.1 Account Creation

To access our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Service Availability and Geographic Restrictions

4.1 Geographic Limitations

Our Service is currently available only to US residents and US-based companies. We use IP geolocation technology to verify your location. By attempting to access our Service, you represent and warrant that you are a US resident or represent a US-based company.

4.2 Government User Restrictions

Our Service is not available to users with government email addresses (including .gov and .mil domains) or government employees acting in their official capacity.

4.3 Access Verification

We reserve the right to verify your eligibility to use our Service at any time. If we determine that you do not meet our eligibility requirements, we may immediately suspend or terminate your access to the Service without refund.

5. Subscription and Payment

5.1 Subscription Plans

We offer subscription plans as described on our website. We reserve the right to modify, terminate, or otherwise amend our subscription plans at any time.

5.2 Payment

Payment for subscriptions is processed through Stripe. By subscribing to our Service, you agree to pay all fees associated with your subscription plan. All payments are non-refundable except as expressly stated in these Terms or as required by applicable law.

5.3 Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us at hello@hillgenius.com.

6. Service Use and Limitations

6.1 Authorized Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use our Service:

  • In any way that violates applicable laws or regulations.
  • To transmit or procure the sending of any advertising or promotional material without our prior written consent.
  • To impersonate or attempt to impersonate Hillgenius, a Hillgenius employee, or any other person or entity.
  • To engage in any conduct that restricts or inhibits anyone's use of the Service.
  • Attempting to circumvent geographic or eligibility restrictions through VPNs, proxies, or other technical means.
  • Providing false information about your location or eligibility during registration.
  • To resell the transcripts or any portion of the transcripts. You may, however, share the transcripts with colleagues, clients, or other parties for informational purposes.

6.2 API and Usage Limits

We may impose usage limits on certain features and functionality. You agree not to circumvent these limits or to access areas of the Service to which you have not been granted authorization.

6.3 Content Restrictions

You agree not to engage in any of the following prohibited activities:

  • Copying, distributing, or disclosing any part of the Service in any medium.
  • Using any automated system to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
  • Attempting to interfere with the proper functioning of the Service.
  • Reverse engineering or decompiling any portion of the Service.

7. Intellectual Property Rights

7.1 Ownership

All rights, title, and interest in and to the Service, including its features and functionality, are and will remain the exclusive property of Hillgenius and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Hillgenius does not claim ownership of the content of congressional hearings themselves, which are public proceedings of the United States government. Our proprietary interest extends only to the value we add through our transcription, speaker attribution, and other processing of the hearings.

7.2 License to Use

Subject to your compliance with these Terms, Hillgenius grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.

7.3 User Content

You retain all rights to any content you submit, post, or display on or through the Service. By providing content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing and improving the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Hillgenius does not warrant that the Service will be error-free or uninterrupted, that defects will be corrected, or that the Service or servers that make it available are free of viruses or other harmful components.

8.1 Non-Official Transcripts

The transcripts provided through our Service are not official government transcripts. While we make every effort to ensure accuracy in our transcription and speaker attribution processes, errors and misattributions may occur. Users should always consult official government sources for authoritative records of congressional proceedings. Hillgenius shall not be held liable for any decisions, actions, or consequences resulting from reliance on the accuracy of our transcripts.

8.2 Service Coverage

At this time, our Service covers standard congressional committee hearings and markups. We do not currently cover closed hearings or hearings where video recordings are not publicly available. Quality of transcripts may be degraded, or transcripts may be unavailable, for joint House/Senate hearings, Rules Committee hearings, or other unusual formats of congressional proceedings.

8.3 Hillgenius AI Features

Our Service includes artificial intelligence features ("Hillgenius AI") that allow users to interact with and analyze congressional hearing transcripts through natural language queries. While we strive to provide accurate and helpful AI-generated responses, you acknowledge and agree that:

  • Hillgenius AI responses are generated by artificial intelligence and may contain errors, inaccuracies, or incomplete information.
  • AI-generated content should not be considered as professional advice, official statements, or authoritative interpretations of congressional proceedings.
  • You are solely responsible for verifying the accuracy of any AI-generated content before relying on it for any purpose.
  • Hillgenius AI may occasionally produce responses that are misleading, biased, or factually incorrect despite our best efforts to ensure quality.
  • The AI system's interpretation of congressional proceedings may differ from official interpretations or those of qualified human analysts.

We strongly recommend that users independently verify all AI-generated information against official sources and exercise their own judgment when using Hillgenius AI features. Hillgenius disclaims all warranties regarding the accuracy, completeness, or reliability of AI-generated content.

9. Limitation of Liability

In no event will Hillgenius, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use of the Service, including any direct, indirect, special, incidental, consequential, or punitive damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Hillgenius, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Term and Termination

11.1 Term

These Terms shall remain in full force and effect while you use the Service.

11.2 Termination by You

You may terminate your account at any time by contacting us at hello@hillgenius.com.

11.3 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

11.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be settled by arbitration in the State of Virginia, in accordance with the rules of the American Arbitration Association.

12.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hillgenius regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

12.4 Waiver and Severability

No waiver by Hillgenius of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Hillgenius to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent.

12.6 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
